Terms and Conditions
General Provisions
These terms and conditions are applicable - from January 1, 2009 till withdrawal - to all of our offers, orders, contracts, deliveries and invoices and/or to all documents arising in connection therewith. The following general terms and conditions may be amended or supplemented with the mutual consent of the parties; however, such amendment or addition will not be effective unless put down in writing and signed by both parties.
Purchase
With the order sent to popup-rollup.com webshop, an official commission will be given to Truemaker Kft. (LLC) to implement the products specified in the order. Sending the order represents a payment obligation for the Customer!
Payment Conditions
In the event of an order the consideration for the product may be settled by the Customer in one of the following ways:
With pre-payment (regardless of the amount limit):
- with Paypal on-line payment
- by bank transfer
Up to the limit of 300 euros:
- in cash upon reception
Pricing
The price in the invoice is a net price exclusive of local VAT. The price includes the cost of packaging.
Shipment Conditions
The shipment shall be carried out by a freight forwarding company. The risk shall be transferred to the Customer each time after the goods have been loaded on the vehicle. Unloading at the delivery address is the Customer’s responsibility and cost. We are not obliged to purchase a shipment insurance policy.
Term of Delivery
The term of delivery specified at the webshop shall refer to the submission and acceptance of the graphics (ready for printing) in the event of a technologically unequivocal order with impeccable contents. The term of delivery specified in the offer represents the conditions in effect on the day of offer. A delivery within 3 work-days after the specified term of delivery shall qualify as a performance on time. In the event of a vis maior (transport and functional troubles, strikes, shortage of raw materials and the like), the term of delivery shall, be extended appropriately.
Conditions of Performance
Since all of our products are produced exclusively upon the Customer’s order and custom-tailored, should the Customer terminate the order after conclusion of the contract, a penalty of 100% of the value of commodity ordered must be paid to the supplier.
Warranty and Liability
Customer must notice in writing any mistaken deliveries, quantitative differences and deficiencies within 5 days from acceptance of the goods. The notice must indicate the number of delivery note, contract, invoice, an accurate description of the goods and the complaints. Damages during shipment must be reported immediately after the goods have arrived at the place of destination. The Customer’s inspection obligation covers the shipment as a whole. The fact and extent of damage have to be indicated in the delivery note/acknowledgement of receipt to be signed by the freight forwarder. It is advisable to record the size of damage in a minutes. Despite any defects the goods must be accepted and stored appropriately. Each complaint has to be filed in writing, with accurate data of the defects. The freight forwarder must be allowed to inspect the goods complained. If the defect is certified, we may opt for remedying it or delivering a perfect goods in exchange of the complained ones. In the event of a defective repair or defective additional shipment the Customer shall be entitled to request a price discount. Any other loss demand of the Customer shall be excluded regardless of legal grounds, provided law allows it. Unless otherwise provided in these Terms and Conditions or in the statutory requirements, any demands against us for any type of loss or damage are excluded; this is not applicable to a wilful breach of contract or to gross negligence. The exclusion covers particularly demands for consequential losses/damages such as fallout of production or loss of profit.
Qualitative and Dimensional Tolerances
Dimensional differences below 1% may occur. Colour differences may also occur due to differences in printing technologies and graphic formats. Should Customer provide us with the Pantone codes of colours in the order, we will check the print for correct colours with reference to a colour scale - within the limits of natural material characteristics and variations (bright, dull, water-clear etc.).
Data Processing
Any fact, data, information related with the legal relations between the parties shall be deemed to be business secrets. Customer acknowledges that all documents, materials, drawings, specifications made and delivered by Seller belong to the exclusive ownership of Sellers. They must not be used in any business relation other than maintained with the Seller.
